These File Upload Terms (“Upload Terms”) govern files, documents, data, drawings, specifications, schedules, spreadsheets, images, PDFs, and other materials (“Uploaded Materials”) submitted to Luxion through any file-upload, drag-and-drop, import, document-processing, artificial intelligence, crossing, quoting, submittal, or related feature.
These Upload Terms supplement Luxion’s Terms of Service and Privacy Policy. If there is a conflict between these Upload Terms and a separate written agreement between Luxion and your organization, the separate written agreement will control to the extent of that conflict.
By uploading or submitting Uploaded Materials to Luxion, you agree to these Upload Terms.
1. Authority to Upload
You represent and warrant that you:
1. Own the Uploaded Materials; or
2. Have all rights, permissions, licenses, and authorizations necessary to upload and allow Luxion to process the Uploaded Materials.
You may not upload information if doing so would violate:
• A confidentiality agreement
• A nondisclosure agreement
• A contractual obligation
• Intellectual property rights
• Privacy rights
• Applicable law or regulation
• Government security requirements
• Export-control restrictions
• Any other restriction applicable to the Uploaded Materials
You are responsible for determining whether you are authorized to submit information to Luxion.
2. Ownership of Uploaded Materials
You retain all right, title, and interest in the Uploaded Materials that you submit to Luxion.
Uploading materials to Luxion does not transfer ownership of those materials to Luxion.
Except for the limited rights necessary to provide, maintain, secure, and improve the Luxion service as described in these Upload Terms, Luxion does not acquire ownership of your Uploaded Materials.
3. Permission to Process Uploaded Materials
By submitting Uploaded Materials, you grant Luxion and its authorized service providers a limited, non-exclusive right to:
• Receive the Uploaded Materials
• Store the Uploaded Materials
• Copy the Uploaded Materials as technically necessary
• Parse and extract information from them
• Analyze their contents
• Convert or transform their format
• Compare information against product or manufacturer data
• Use automated systems and artificial intelligence to process their contents
• Generate outputs, recommendations, matches, crosses, quotes, submittals, reports, structured data, or other results
• Perform security, debugging, reliability, and fraud-prevention functions
• Otherwise process the Uploaded Materials as reasonably necessary to provide the Luxion service
This permission exists only for purposes related to operating, securing, supporting, maintaining, and improving Luxion and providing services to you.
4. Confidential and Proprietary Information
Uploaded Materials may contain confidential or proprietary business information.
You are responsible for ensuring that you have authorization to provide such information to Luxion.
Luxion will handle Uploaded Materials in accordance with its applicable Privacy Policy, Terms of Service, security practices, and any separate written agreement between Luxion and the applicable customer.
Customers requiring specific confidentiality, security, retention, data-processing, or information-handling obligations should enter into an appropriate written agreement with Luxion before submitting information requiring those protections.
5. Restricted and Sensitive Information
Unless Luxion has expressly agreed otherwise in writing, you must not upload:
• Classified information
• Controlled Unclassified Information requiring handling standards that Luxion has not agreed to support
• Export-controlled technical data
• International Traffic in Arms Regulations (ITAR)-controlled information
• Information restricted under applicable national-security laws
• Government information requiring specific security accreditation or authorization
• Passwords, private cryptographic keys, authentication credentials, or access tokens
• Malicious software, viruses, ransomware, or executable malicious code
• Information unlawfully obtained from another party
• Personal information that you are not authorized to disclose
• Materials whose disclosure to Luxion would violate applicable law, regulation, contract, or confidentiality obligation
If you are uncertain whether information may legally or contractually be uploaded to Luxion, do not upload it until the appropriate authorization has been obtained.
6. Automated Processing and Artificial Intelligence
Luxion may use automated systems, machine learning, artificial intelligence, optical document processing, data extraction systems, search systems, databases, and other technologies to analyze Uploaded Materials.
Automated systems are not perfect.
Outputs may contain:
• Errors
• Incorrect matches
• Incorrect product selections
• Incorrect part numbers
• Missing information
• Outdated information
• Incomplete information
• Incorrect interpretations
• Formatting errors
• Manufacturer-data discrepancies
• Specification discrepancies
• Pricing inaccuracies
• Calculation errors
Luxion does not guarantee that automated or AI-generated results will be accurate, complete, current, or appropriate for any particular application.
7. User Verification Required
Luxion is intended to assist users, not replace professional review or independent verification.
You are responsible for reviewing and verifying Luxion-generated results before relying on them.
This includes, without limitation:
• Product crosses
• Equivalent product recommendations
• Manufacturer matches
• Fixture selections
• Part numbers
• Product configurations
• Pricing
• Quantities
• Quotes
• Commission calculations
• Margin calculations
• Submittals
• Specifications
• Schedule information
• Product availability
• Electrical characteristics
• Photometric information
• Certifications
• Compliance information
Manufacturer documentation, approved project documents, contracts, specifications, engineering requirements, codes, and other controlling project documentation should be independently reviewed before making purchasing, bidding, construction, engineering, installation, or specification decisions.
If Luxion-generated information conflicts with authoritative manufacturer or project documentation, the authoritative documentation should control.
8. No Engineering or Professional Certification
Unless expressly stated otherwise in a separate written agreement, Luxion does not provide architectural, engineering, electrical engineering, legal, code-compliance, certification, or other licensed professional services.
Luxion-generated results should not be interpreted as professional approval, certification, engineering judgment, or confirmation that a product satisfies every requirement of a particular project.
Users remain responsible for obtaining any required professional review or approval.
9. Manufacturer and Third-Party Information
Luxion may process or display information relating to manufacturers, products, specifications, pricing, certifications, documentation, or other third-party materials.
Third-party information may change without notice.
Luxion does not control and cannot guarantee the continued accuracy or availability of information supplied by third parties.
Users should verify critical information directly with the applicable manufacturer, distributor, representative, project team, or other authoritative source when appropriate.
10. File Compatibility
Luxion does not guarantee that every file can be successfully uploaded, interpreted, processed, or analyzed.
Processing may be affected by:
• File format
• File size
• Document quality
• Image resolution
• Scanning quality
• Password protection
• Corrupted files
• Unusual formatting
• Handwritten information
• Incomplete schedules
• Missing specifications
• Unsupported document structures
• Data inconsistencies
Luxion may reject, limit, truncate, or fail to process files that cannot be reliably or safely handled.
11. File Security
Luxion may use commercially reasonable administrative, technical, and organizational safeguards designed to protect information processed through the service.
However, no electronic transmission, cloud service, storage system, or information-security system can be guaranteed to be completely secure.
You acknowledge the inherent risks associated with transmitting information through internet-based services.
12. Third-Party Service Providers
Luxion may use third-party service providers to operate the platform and process Uploaded Materials.
These providers may include services related to:
• Cloud infrastructure
• Data storage
• Artificial intelligence
• Machine learning
• Document processing
• Database infrastructure
• Authentication
• Security
• Monitoring
• Analytics
• Communications
• Customer support
Such providers may process information only as necessary to provide services to Luxion and subject to the applicable contractual and technical safeguards maintained by Luxion.
13. AI Model Training
Luxion does not sell Uploaded Materials.
Uploaded customer files will not be intentionally used to train publicly available or general-purpose artificial intelligence models unless the applicable customer has separately and expressly authorized such use.
Luxion may use operational information, system metadata, de-identified information, aggregated information, user feedback, and service-performance information to maintain, secure, evaluate, and improve the Luxion platform, subject to applicable agreements and law.
14. Data Retention and Deletion
Luxion may retain Uploaded Materials for the period reasonably necessary to:
• Provide the requested service
• Allow users to access prior work
• Maintain customer accounts
• Provide support
• Maintain system integrity
• Comply with contractual requirements
• Comply with applicable legal obligations
• Prevent fraud or misuse
• Resolve disputes
• Enforce agreements
Uploaded Materials may be deleted in accordance with Luxion’s applicable retention practices, customer settings, account status, or separate written agreements.
Deletion from active systems may not immediately remove information from backups, disaster-recovery systems, logs, or other systems where temporary retention is technically or legally necessary.
Where a separate enterprise agreement specifies particular retention or deletion requirements, that agreement will control.
15. Customer Responsibility for Backups
Luxion should not be treated as the sole repository for important project files.
You are responsible for maintaining your own copies and backups of Uploaded Materials and other important records.
Luxion is not responsible for loss of original files resulting from a user’s failure to maintain independent copies.
16. Prohibited Uses
You may not use Luxion’s upload functionality to:
• Upload malware or malicious code
• Attempt to compromise Luxion systems
• Circumvent security protections
• Gain unauthorized access to information
• Process unlawfully obtained information
• Violate intellectual property rights
• Violate privacy rights
• Facilitate fraud
• Interfere with the operation of Luxion
• Scrape, reverse engineer, or systematically extract Luxion proprietary data except where expressly permitted
• Use Luxion in violation of applicable law
• Submit files for purposes unrelated to the legitimate use of Luxion’s services
Luxion may suspend or restrict upload functionality if it reasonably believes the service is being misused.
17. Intellectual Property and Luxion Technology
These Upload Terms do not grant you ownership of Luxion’s:
• Software
• Algorithms
• Models
• Databases
• Product matching methodologies
• Data structures
• User interfaces
• Workflows
• APIs
• Proprietary datasets
• Search methodologies
• Generated platform functionality
• Other intellectual property
Your ownership of Uploaded Materials does not create ownership rights in Luxion technology used to process those materials.
18. Generated Outputs
Subject to Luxion’s Terms of Service and any applicable customer agreement, users may generally use outputs generated from their own Uploaded Materials for legitimate business purposes.
Generated outputs may incorporate information derived from manufacturers or other third-party sources. Any underlying third-party intellectual property remains subject to the rights of its respective owner.
Luxion does not grant rights to third-party intellectual property beyond those rights Luxion is legally permitted to provide.
19. Disclaimer of Warranties
To the maximum extent permitted by applicable law, file-processing functionality and results are provided on an “as is” and “as available” basis.
Luxion does not warrant that:
• Every file will process successfully
• Every result will be accurate
• Every product match will be equivalent
• Every recommendation will satisfy project requirements
• Every specification will be current
• Every manufacturer record will be complete
• Every service will operate without interruption or error
Additional warranty limitations may be contained in Luxion’s Terms of Service or applicable customer agreement.
20. Limitation of Reliance
You acknowledge that decisions involving products, pricing, purchasing, construction, specifications, bids, submittals, engineering, or installation may have significant financial or operational consequences.
Luxion should be used as a productivity and decision-support tool.
You remain responsible for final business and project decisions made using Luxion-generated information.
21. Enterprise Agreements
Customers may enter into separate agreements with Luxion addressing matters including:
• Confidentiality
• Data processing
• Data retention
• Data residency
• Cybersecurity
• Insurance
• Service levels
• API access
• Intellectual property
• Information security
• Regulatory compliance
• Government contracting requirements
If such an agreement applies, its terms will control over these Upload Terms where specifically inconsistent.
22. Changes to These Terms
Luxion may update these Upload Terms from time to time as the platform, technology, legal requirements, or data-processing practices change.
The current version will display its effective or last-updated date.
Where required, Luxion may request renewed acceptance of materially updated terms.
Continued use of file-upload functionality after applicable changes may constitute acceptance to the extent permitted by law and Luxion’s Terms of Service.
23. Acceptance
By checking the applicable acceptance box and uploading, submitting, importing, analyzing, crossing, or otherwise processing a file through Luxion, you acknowledge that:
1. You have read these File Upload Terms;
2. You have authority to provide the Uploaded Materials;
3. You understand that automated and AI-generated outputs may contain errors;
4. You are responsible for independently reviewing results before relying on them; and
5. You agree to these File Upload Terms, Luxion’s Terms of Service, and Luxion’s Privacy Policy.
